Terms of Service - PRSNL.IO

1. Preamble and Publisher Identification

These Terms of Service (hereinafter "ToS") govern the access and use of the PRSNL platform (hereinafter the "Platform"). The Platform is edited and operated by Agence Personnelle, a French company with its registered office in France (hereinafter the "Publisher" or the "Company"). By using the Platform, the user (hereinafter the "User" or the "Client") acknowledges having read and agrees to comply with these ToS without reservation.

2. Definitions

In these ToS, the following terms shall have the meanings defined below:

• Platform: the web and mobile application PRSNL Personal, including personal branding and social media management services described in Article 3.
• User/Client: any adult individual or legal entity (professional) using the Platform for their professional activity. If the User is a legal entity, the person acting on its behalf must be duly authorized to represent it and accept the ToS on its behalf.
• Social Networks: third-party social network services compatible with the Platform (such as LinkedIn, Instagram, TikTok, YouTube, Facebook).
• Content: any content of any nature (text, image, video, audio, file, etc.) that the User creates, imports, uploads, schedules, or publishes via the Platform.
• User Content: any Content provided by the User (including content prepared by the Company at the User's request) for publication on Social Networks via the Platform.

3. Service Description

The PRSNL Personal Platform is a personal branding solution for professional use, allowing Users to manage and develop their digital presence on major social networks. Through a single interface, the User can:

• Imagine and plan content: the Service offers content creation assistance features, such as video topic suggestions or editorial script generation (without using generative AI to date). Users can develop their multi-platform editorial calendar by scheduling publications in advance.
• Social network connection: Users can link their professional accounts on social networks (LinkedIn, Instagram, TikTok, YouTube, Facebook, etc.) to the Platform to manage content distribution across these different services in one place.
• Automated publishing and distribution: once content is prepared and validated, Users can schedule its automatic distribution according to the defined editorial calendar.
• Performance data centralization: the Platform aggregates performance indicators for each distributed publication.

Important: The Platform is currently offered to clients of Agence Personnelle as part of the agency's service offering.

4. Platform Access and Registration

4.1. Account Creation

To use the Platform, Users must have their own account. Access may be provided by the Publisher as part of the contractual relationship (e.g., sending credentials) or through an online registration process.

4.2. Credentials Confidentiality

Access to the User account is protected by confidential credentials. The User is responsible for the use and confidentiality of their login credentials.

4.3. Personal Use of Account

The User account is strictly personal. Users agree not to allow any third party to use the Platform on their behalf or for their account.

4.4. Age and Capacity Requirements

Use of the Service is restricted to individuals who are at least 18 years old and have the legal capacity to contract.

4.5. Technical Access

The Platform is accessible via the Internet. Users must have an Internet connection and appropriate equipment to use the Service.

5. User Obligations and Service Use

When using the Platform, Users agree to comply with all applicable laws and regulations as well as the provisions of these ToS.

• Respect the Service purpose
• Comply with laws and third-party rights
• Respect Social Networks' ToS
• Do not harm computer systems
• Do not misuse intellectual property rights
• Provide necessary cooperation

6. Content Management and Intellectual Property

6.1. Content Provision and Validation

The Platform allows Users to create or import content (texts, images, videos, etc.) for distribution on Social Networks. In some cases, the Publisher (or its team) may assist the User in content production as part of Agence Personnelle's services.

Users retain full editorial control over distributed content. No content is published on social networks via the Platform without the User's agreement and final validation.

6.2. Content Moderation

The Publisher is not subject to a general obligation to monitor content that Users create or distribute via the Platform. However, the Publisher reserves a right of moderation.

6.3. Platform Intellectual Property

The Platform and all its components are the exclusive property of the Publisher or its licensors.

6.4. User Content Intellectual Property

Users retain all intellectual property rights to the content they create and import via the Platform.

7. Personal Data and Privacy

Use of the Platform involves the collection and processing of certain personal data of the User. The Publisher commits to processing personal data in compliance with the GDPR.

8. Sanctions and Termination

8.1. User Breaches

In case of non-compliance with the ToS, the Publisher reserves the right to take any appropriate measure.

8.2. User Unsubscription

Users may decide at any time to terminate their use of the Service.

8.3. Service Termination by Publisher

The Publisher reserves the right to permanently cease Platform operations or unilaterally terminate a User's access.

9. Service Availability and Support

The Publisher strives to maintain the Platform accessible and operational at all times, subject to scheduled maintenance periods or potential outages beyond its control.

10. Publisher's Liability Limitation

Users use the Platform at their own risk. The Service is provided "as is", without express or implied warranty.

11. General Provisions

11.1. ToS Modifications

Agence Personnelle reserves the right to modify these ToS at any time.

11.2. Entirety and Partial Nullity

These ToS express the entire agreement between the parties regarding the use of the Platform.

11.3. Contract Assignment

The Publisher may assign or transfer to any entity of its choice the rights and obligations arising from these ToS.

11.4. Relationship Between Parties

No provision of these ToS shall be interpreted as creating a mandate, joint venture, employer-employee, or franchisor-franchisee relationship.

12. Applicable Law and Jurisdiction

These ToS are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the courts of the Publisher's registered office (Paris courts).
